Memorandum and Articles of Association

The Memorandum and Articles of Association of the Company is the primary legal framework for the SU. This is the document that sets up the company, how it is run, governed and owned. It also includes the responsibilities and powers of the directors and the means by which members exert control over the Board of Directors.

In simple terms it outlines the way the SU works, the binding principles and key processes to ensure good practice and compliance with regulations such as UK charity law, company law, the education act, University policies and procedures and SU policies and procedures.

It covers areas such as:

Definitions, Membership, Referenda, General Meetings, Trustees, the Operations Committee, Bye-Laws, Proceedings of The Trustees, Student Council

The SU can make changes to its Bye-Laws through agreement by Student Council, but changes to the constitution have to been agreed by the University Board of Governors of which the SU President is a member.
